No real reason for 64-bit unless you have more than 3GB of RAM.
64-bit is twice as fast :P.........................JK.
It is more about the amount of Ram and other buses the CPU can address. All your PCI cards, GPU ram, system ram have to have addresses assigned to them. Typically a 32bit CPU can address up to 4GB of memory however addresses must be assigned to other devices as well, such as PCI buses and Video card Ram, which normally kills at least half a gig of Ram if you have 4GB installed.
